Client Deliverables

Unless otherwise specified in a project agreement, upon full payment for our services, clients receive full ownership of custom-developed solutions, including source code, documentation, and related materials. Our pre-existing tools, libraries, and frameworks remain our property, with clients receiving a license to use them as part of the delivered solution.

5. Payment Terms

Payment terms for our services are outlined in individual project agreements. General terms include:

• Payments are due according to the schedule specified in the project agreement
• Late payments may incur interest charges as specified in the agreement
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise stated

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide our services or as required by law. Clients agree to maintain the confidentiality of any proprietary methodologies, tools, or information shared by SeamAI Pro LLC during the course of our engagement.

7. Limitation of Liability

To the maximum extent permitted by law:

• SeamAI Pro LLC provides services "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not responsible for third-party services or integrations

8. Indemnification

You agree to indemnify and hold SeamAI Pro LLC harmless from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate services:

• With written notice as specified in the project agreement
• Immediately for material breach of these Terms
• If the other party becomes insolvent or ceases operations

Upon termination, you must pay for all services rendered through the termination date. Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Orlando, Florida, and the decision shall be final and binding.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Orange County, Florida.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with any project agreements or statements of work, constitute the entire agreement between you and SeamAI Pro LLC regarding the use of our services and supersede all prior agreements and understandings.
